• Cardium Therapeutics Inc., of San Diego, filed a shelf registration with the SEC to periodically sell up to $50 million worth of common stock. Cardium is the parent company for therapeutic hypothermia subsidiary InnerCool Therapies Inc., growth factor specialist Tissue Repair Co., and Cardium Biologics, which is developing DNA-based therapeutics.

• Health Discovery Corp., of Savannah, Ga., said it plans to raise $1.5 million to $2.5 million in a private placement. Additionally, the company's current note-holders intend to convert approximately $2 million from debt into equity. Proceeds will be used to fund biomarker discovery efforts using the company's pattern recognition technology, to protect intellectual property, and to increase business development. The deal is expected to close by Sep. 7.
