* Cellomics Inc., of Pittsburgh, signed a collaborative research and development agreement with Warner-Lambert Co., of Morris Plains, N.J., to investigate the use of fluorescence-based cytotoxicity assays. The agreement involves research and development of cytotoxicity assays and delivery of the ArrayScan 2.0 System. Cellomics' cell-based high-content screening system and bioinformatics software are designed to provide extensive biological information about a drug candidate's physiological impact on specific cellular targets.

* Dow AgroSciences LLC, of Indianapolis, signed a definitive agreement to acquire all of the outstanding shares that it did not already own of Mycogen Corp., of San Diego. Under the agreement, a subsidiary of Dow AgroSciences will make a tender offer for all the remaining Mycogen shares at $28 per share. Dow AgroSciences, which already owns 68 percent of Mycogen's outstanding shares, is a wholly owned subsidiary of The Dow Chemical Co., of Midland, Mich.
