Ecogen Inc. said Wednesday that it has filed with theSecurities and Exchange Commission to register 11.9 millionshares of common stock. All of the shares, which includeshares underlying certain warrants and options, are owned byexisting stockholders of Ecogen.

About 83 percent of the shares are owned by New York investorDavid Blech, who is Ecogen's largest shareholder. He owns 6.1million shares, excluding warrants and options, or 41.7 percentof all shares outstanding. The Langhorne, Pa., company saidBlech has confirmed that he currently has no intention ofselling any shares.

The registration will not increase the number of sharesoutstanding, which is 14.4 million.

Ecogen stock (NASDAQ:EECN) closed down 75 cents onWednesday at $11.13.
