Del Global Technologies (DGT; Valhalla, New York) reported that it has acquired the remaining shares of capital stock of its Italian subsidiary, Villa Sistemi Medicali (Milan, Italy), that it did not already own.

The company had previously held 80% of Villa. As a result of this transaction, Villa is now a 100% owned subsidiary of Del Global. Total consideration was comprised of a combination of cash of $2,950,000 and 904,762 restricted shares of DGT common stock.

Founded in 1961, Villa is the largest manufacturer of medical and dental X-ray imaging devices in Italy.

Villa's ISO 9001:2000 and EN46001 certified facility manufactures a broad medical product portfolio that covers conventional and digital radiofrequency imaging, general radiographic imaging and mobile X-ray systems. Villa's dental X-ray devices include a range of intra-oral and panoramic systems.

"We fully expect to leverage the brand equity and core competencies of both Villa and Del Medical Imaging to create a single, cohesive, international sales and marketing organization with the mission of strengthening the company's global market penetration in diagnostic imaging systems," said Walter Schneider, president and CEO of Del Global.

DGT is primarily engaged in the making of medical imaging and diagnostic systems consisting of stationary and portable X-ray systems, radiographic/fluoroscopic systems, dental imaging systems and high-voltage power conversion subsystems for medical and other critical industrial applications.

Clinical Data (Newton, Massachusetts) reported that it has acquired Electa Lab (Forli, Italy) for about $1.8 million in cash.

Electa Lab is a worldwide supplier of Erythrocyte Sedimentation Rate (ESR) instrumentation and related consumables, with annual sales of more than $3 million. Electa Lab also has developed technology for the safe decapping of blood collectsion tubes and is developing instruments and assays for the immunochemistry and coagulation markets.

The acquisition will be accounted for as a purchase and is expected to be immediately accretive to Clinical Data's earnings.

"The acquisition of Electa Lab enhances our ability to provide a full range of products and services to smaller clinical laboratories worldwide," said Israel Stein, MD, president and CEO of Clinical Data.

Clinical Data will continue to hold non-exclusive distribution rights to the ESR products manufactured by Diesse Diagnostica Senese (Siena, Italy) and will continue to provide sales, service and technical support to Clinical Data customers using Diesse ESR products in the U.S., it said.

Clinical Data develops pharmacogenomics and clinical diagnostics to improve patient care. The company's genomic services are marketed to the pharmaceutical, biotech, clinical, academic and agricultural marketplaces.
