Genetics Institute Inc. said Monday that it expects to mail toshareholders this week a proxy statement relating to itsproposed merger with American Home Products Corp. A specialstockholders meeting has been scheduled for Jan. 16 to vote onthe merger.

The Securities and Exchange Commissions has declaredeffective the Cambridge, Mass., company's registrationstatement for the shares that will be issuable upon completionof the merger, under which AHP would purchase 60 percent ofGI for $666 million.

GI stock (NASDAQ:GENI) closed up 13 cents at $38.88.
