IPO no-go, Bayer swayer in $2B Vividion deal

A little over a month after Versant Ventures-back Vividion Therapeutics Inc. filed to raise $100 million in an IPO, Bayer AG is paying $1.5 billion up front, with the promise of $500 million more in milestone payments, to take over the firm and its small-molecule precision oncology and immunology platform.

Neogenomics moves up bid to buy liquid biopsy specialist Inivata for $390M

LONDON – Neogenomics Inc. reported it plans to acquire Inivata Ltd., taking up a $390 million fixed price option to purchase the liquid biopsy specialist eight months early. The option was agreed to in May 2020, when Neogenomics made a $25 million minority equity investment in Inivata and was granted the right to acquire the rest of the company by the end of 2021.

Microsoft makes major commitment to health care with $19.7B Nuance buy

Microsoft Corp. will purchase Nuance Communications Inc. for $19.7 billion in cash in a move that demonstrates a massive commitment to building out the Microsoft Cloud for Healthcare reported in late 2020. The acquisition, which is expected to close by the end of 2021, doubles the Redmond, Wash.-based company’s total addressable market in the health care provider space, bringing it to nearly $500 billion. The size of the transaction is notable even for a company with the active acquisition history of Microsoft.

Seaspine inks deal to acquire 7D Surgical for $110M

Thirteen months after establishing a strategic alliance to distribute 7D Surgical Inc.’s machine-vision, image-guided surgery platform, Seaspine Holdings Corp. (NASDAQ:SPNE) signed an agreement to acquire the Toronto-based company. 7D Surgical shareholders will receive $27.5 million in cash plus $82.5 million in Seaspine stock and will hold approximately 13% of Seaspine’s shares at completion. The deal is expected to close in the second quarter of 2021.

Agilent snags Resolution Bioscience in deal valued up to $695M

Agilent Technologies Inc. will acquire Resolution Bioscience Inc. for $550 million in cash at closing and up to an additional $145 million based on performance milestones. The deal will expand Agilent’s cancer diagnostics offerings and its presence in next-generation sequencing (NGS) technology for the fast-growing precision medicine market. The acquisition is expected to close in April 2021.

Agios sells oncology business to Servier in $2B+ deal

Agios Pharmaceuticals Inc., a company that has until now revolved primarily around its FDA-approved acute myeloid leukemia drug, Tibsovo (ivosidenib), is selling that drug and the rest of its oncology business to Servier Pharmaceuticals LLC in a deal valued at up to $2 billion, plus royalties. The agreement includes $1.8 billion cash up front for the portfolio and as much as $200 million in regulatory milestone payments for the investigational glioma treatment vorasidenib.

Qiagen purchases balance of Neumodx Molecular for $248M

Just weeks after rejecting Thermo Fisher Scientific Inc.'s overtures, Qiagen NV completed its own deal – the acquisition of the final 80.1% of diagnostics instruments company Neumodx Molecular Inc. for $248 million in cash. Qiagen, based in Hilden, Germany, bought a 19.9% stake in Neumodx back in 2018 with the option to purchase the rest for $234 million. With U.S. regulatory approval recently obtained, the deal closed with an additional $14 million in customary adjustments for cash, indebtedness, and transaction costs.

Hologic to scoop up Acessa Health for $80M

Hologic Inc., which focuses on women's health, reported Aug. 25 that it was acquiring Acessa Health Inc., a company that has developed a minimally invasive treatment for fibroids. It is offering about $80 million in cash plus contingent payments based on future revenue growth.

LONDON – Women’s health specialist Kandy Therapeutics Ltd. is to be acquired by Bayer AG for $425 million up front, with a further $450 million to come in milestone payments up to the launch of NT-814, a treatment for menopause symptoms that recently completed phase IIb.
